1. Agreement to Terms
By accessing and using the Southbytelabs Ltd Management System "Software", you agree to be bound by these Terms and Conditions "Terms". If you do not agree to these Terms, you may not access or use our Software. These Terms constitute a legally binding agreement between you and Southbytelabs Ltd.

3. Intellectual Property Rights
IMPORTANT NOTICE:
The Southbytelabs™ name, logo, and all associated trademarks are the exclusive property of Southbytelabs Ltd and are protected under Nigerian and international trademark law.
Ownership
- All software code, design, functionality, and features are proprietary to Southbytelabs Ltd
- The Southbytelabs™ trademark and brand identity are exclusively owned by Southbytelabs Ltd
- All documentation, user interfaces, and system designs are copyrighted material
- Database structures, algorithms, and business logic remain our intellectual property
Prohibited Activities
STRICTLY FORBIDDEN:
- Replication: Copying, duplicating, or reproducing any part of the software
- White-labeling: Removing our branding and presenting the software as your own
- Reverse Engineering: Attempting to discover source code or system architecture
- Redistribution: Sharing, selling, or distributing the software to third parties
- Trademark Infringement: Using the Southbytelabs™ name or similar marks without authorization
4. User Eligibility and Access
Authorized Users
- Access is restricted to authorized Southbytelabs employees and partners
- Users must have a valid @southbytelabs.com email address
- All users must be 18 years or older
- User accounts are non-transferable and personal to the assigned individual
Account Security
- Users are responsible for maintaining the confidentiality of their login credentials
- Any unauthorized use of your account must be reported immediately
- We reserve the right to suspend or terminate accounts for security reasons
5. Subscription Plans and Pricing
Available Plans
- Free Plan (₦0 / $0 per month): Up to 15 invoices per month, 1 team member, unlimited customers, basic AI analytics, bank-transfer payments only, payment reminders.
- Pro Plan (₦75,000 / $49 per month):Unlimited invoices & team members, Paystack & crypto payments, advanced AI features (business chat, predictive analytics), ISO 21378 audit logs, priority developer support.
Payment Terms
- Premium subscriptions are billed monthly in advance
- All prices are in USD unless otherwise specified
- Payment is due immediately upon subscription activation
- We accept payments via Paystack, Stripe, and select cryptocurrencies
- Free accounts require no payment information to start
Subscription Management
- You may upgrade from Free to Premium at any time
- You may downgrade from Premium to Free at any time
- Downgrades take effect at the end of your current billing period
- Upgrades take effect immediately with prorated billing
- You retain access to all data when changing plans
6. Cancellation and Refund Policy
Cancellation Rights
- You may cancel your Premium subscription at any time
- Cancellation can be done through your account settings
- No cancellation fees apply
- Service continues until the end of your current billing period
- Your account automatically downgrades to Free after cancellation
Refund Policy
- Full refunds are available within 14 days of initial Premium subscription
- Refunds for subsequent billing periods are evaluated on a case-by-case basis
- To request a refund, contact support at hello@southbytelabs.com
- Refunds are processed within 5-10 business days to the original payment method
- Free plans do not require refunds as no payment is collected
7. Acceptable Use Policy
Permitted Use
- Business management and administrative purposes
- Invoice and receipt processing
- Document management and storage
- Financial analytics and reporting
Prohibited Use
- Any illegal or unauthorized activities
- Attempting to breach system security
- Uploading malicious software or harmful content
- Interfering with other users' access to the system
- Using the system for purposes other than intended business operations
8. Data and Privacy
Your use of our Software is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your personal and business data in accordance with applicable Nigerian data protection laws and international best practices.
9. Service Availability
While we strive to maintain continuous service availability, we do not guarantee uninterrupted access to the Software. We reserve the right to:
- Perform scheduled maintenance and updates
- Temporarily suspend service for technical reasons
- Modify or discontinue features with appropriate notice
- Implement security measures that may affect accessibility
10. Limitation of Liability
To the maximum extent permitted by Nigerian law, Southbytelabs Ltd shall not be liable for:
- Any indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Damages resulting from system downtime or technical issues
- Third-party actions or data breaches beyond our control
Our total liability shall not exceed the amount paid by you for the Software in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Southbytelabs Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Software, violation of these Terms, or infringement of any third-party rights.
12. Termination
We may terminate or suspend your access to the Software immediately, without prior notice, for any reason, including:
- Breach of these Terms and Conditions
- Unauthorized use or attempted security breaches
- Violation of intellectual property rights
- Termination of employment or business relationship
Upon termination, your right to use the Software ceases immediately, and you must cease all use of our proprietary systems.
13. Legal Enforcement
Trademark Protection
Southbytelabs Ltd will actively pursue legal action against any individual or entity that infringes upon our trademark rights, copies our software, or engages in unauthorized white-labeling. This includes but is not limited to seeking monetary damages, injunctive relief, and attorney fees.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to users via email or system notifications. Continued use of the Software after such modifications constitutes acceptance of the updated Terms.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Nigeria, and you hereby consent to personal jurisdiction in such courts.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
